Community Mobile App Marketing Platform Agreement

This Agreement ("Agreement") is made and entered into on the date of acceptance by the Client ("Client"), and is by and between the Community Mobile App Marketing Platform ("Platform") and the Client, collectively referred to as the "Parties."

1. Services Provided The Platform provides a video-based mobile app that promotes local businesses by offering space for company profiles. This space may include a promotional video showcasing the Client’s skills and business.

The Client agrees to provide a minimum of an 8-minute demo video showcasing their business, products, and services ("Demo Video").
The Platform will post the Demo Video on the mobile app platform and edit three Demo Videos into an episode to be posted on the Platform’s YouTube channel.

2. Fees and Charges

Fees: There is no fee for basic services as long as the client posts a video at least 8 minutes long within the video guidelines at least once per 30 day calendar month.
Additional Fees: The Platform only charges a one time onboarding fee of $15.00 upfront for basic services which includes, marketing the platform, hosting, uploads, video posting, business profile and/or promotional video, maintenance or other basic programs. We will email an invoice, when invoice is paid we will start working on your project.
No Lead Sharing, No Lead Fees: The Platform does not share leads, and does not have a lead fee.

3. Revenue Sharing

The Platform will split any advertisement revenue generated from YouTube views and other related ad earnings at a rate of 50% for the Platform and 16% for each additional Party. Typically we edit three videos to make an episode, however, there will be videos that are single source, those videos payout 50-50.
The revenue share will be calculated based on the gross ad revenue earned from the episode featuring the Client’s demo videos.

4. Marketing and Promotion

The Platform will market the mobile app on various channels, including TV, radio, print, and the internet, within the local county where the app is marketed.
The Platform may use the Demo Videos, company profiles, and other marketing materials in its advertising campaigns.

5. Content Ownership

The Platform retains full ownership of the Demo Video and any associated content provided to the Platform. The Platform is granted a non-exclusive, worldwide, royalty-free license to use, edit, and distribute the Demo Video on the mobile app, YouTube channel, and any marketing materials associated with the promotion of the Platform.

6. Refunds and Cancellations:

If the Client fails to provide the necessary materials for the Demo Video within 30 days of signing this Agreement, or if the Client is not satisfied with the results at any time, the Platform may terminate this Agreement, and the fee will be refunded.

7. Platform’s Rights and Responsibilities

The Platform reserves the right to modify, remove, or refuse content that violates any community standards, terms of service, or applicable laws.
The Platform agrees to reasonably promote the Client's profile and videos, but does not guarantee a specific outcome in terms of views, revenue, or any other metric.

8. Limitation of Liability

The Platform is not liable for any damages arising from the use of the mobile app, videos, or the YouTube channel. The Client agrees to indemnify and hold the Platform harmless from any claims or liabilities resulting from the content or videos provided by the Client.

9. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction in which the Platform operates. Any disputes arising from this Agreement shall be resolved through mediation or binding arbitration.

10. Entire Agreement This Agreement constitutes the entire understanding between the Parties. Any amendments or modifications to this Agreement must be made in writing and signed by both Parties.
